These Terms of Service ("Terms") govern your access to and use of websites, product pages, dashboards, APIs, support services, and related offerings operated by VECTORSCALE LABS PRIVATE LIMITED ("VectorScale Labs", "Company", "we", "us", or "our").
These Terms apply to VectorScale Labs and to our products and services, including Haulistic, Chatwise, product implementation support, product onboarding, and any related tools we make available. By accessing or using our services, you agree to these Terms. If you are accepting these Terms for a business or organization, you represent that you have authority to bind that organization.

1. Services
VectorScale Labs builds and operates software products for commerce and customer communication workflows.
Haulistic helps businesses create, manage, and improve commerce storefronts, product pages, order workflows, and related digital infrastructure.
Chatwise helps businesses manage customer conversations, automations, and connected messaging workflows across channels that may include Instagram, Facebook, Messenger, WhatsApp Business Platform, and other customer support channels where enabled.
We may also provide implementation support, onboarding, consulting, setup, documentation, and maintenance services related to our products.
2. Accounts and Eligibility
You must be at least 18 years old and legally able to enter into these Terms.
You must provide accurate account, business, billing, and contact information. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
You must promptly notify us at admin@vectorscalelabs.com if you suspect unauthorized access or misuse.
3. Third-Party Platforms and Integrations
Our products may connect to third-party services such as Meta, Instagram, Facebook, Messenger, WhatsApp Business Platform, payment providers, shipping providers, analytics tools, CRMs, and customer support tools.
You are responsible for maintaining valid third-party accounts, granting only the permissions needed for your use, and complying with the policies and terms of those third-party platforms.
For Meta, Instagram, Facebook, Messenger, and WhatsApp Business Platform integrations, you must comply with applicable Meta Platform Terms, Developer Policies, Community Standards, Instagram Terms, WhatsApp Business Terms, messaging policies, commerce policies, rate limits, opt-in requirements, and user consent requirements.
We do not control third-party platforms. Their APIs, permissions, policies, availability, pricing, and approval processes may change. We are not liable for interruptions, suspensions, policy decisions, or data handling by third-party platforms.
4. Customer Consent and Messaging Compliance
If you use Chatwise or any connected messaging feature to communicate with your customers, you are responsible for:
obtaining and documenting required customer consent;
honoring opt-outs and deletion requests;
using approved templates where required;
avoiding spam, deceptive content, or unauthorized promotions;
complying with applicable law and platform policies;
ensuring that automated or AI-assisted replies are accurate and appropriate before sending where review is required.
We may suspend or limit messaging features where we reasonably believe a workspace, account, number, page, or integration is being used in violation of law, platform policy, or these Terms.
5. Your Content and Data
You retain ownership of content, business data, product information, customer data, messages, media, templates, prompts, configuration, and other materials you submit or connect to our services ("Customer Content").
You grant us a limited, non-exclusive, worldwide license to host, store, process, transmit, display, and use Customer Content only as needed to provide, maintain, secure, troubleshoot, improve, and support the services, comply with law, and prevent abuse.
You represent that you have all rights, permissions, notices, and consents needed to provide Customer Content to us and to use the services.
6. Privacy and Data Protection
Our handling of personal data is described in our Privacy Policy, Platform Data Use page, Data Deletion Policy, and Security page. These policies are incorporated into these Terms by reference.
For customer data processed through Haulistic, Chatwise, or connected platform integrations, you are typically the controller or business owner of that data, and VectorScale Labs acts as a processor or service provider, except where we process data for our own account administration, billing, security, legal, or product improvement purposes.
You are responsible for providing required notices to your customers and for responding to rights requests where you are the controller or business owner. We will provide reasonable assistance as required by applicable law and our policies.
7. AI-Assisted Features
Some features may use AI to draft replies, summarize conversations, classify inquiries, generate suggestions, or support automation. AI outputs may be incomplete, inaccurate, or inappropriate for a particular context. You remain responsible for reviewing and using AI outputs in compliance with law, platform policies, and your customer commitments.
Unless separately agreed in writing, we do not use your Customer Content to train third-party foundation models for unrelated customers.
8. Acceptable Use
You must not use the services to:
violate any law, regulation, platform policy, or third-party right;
send spam, phishing, scams, misleading promotions, or unauthorized bulk messages;
collect or process personal data without a lawful basis;
transmit harmful, abusive, hateful, defamatory, sexually explicit, exploitative, or illegal content;
infringe intellectual property or privacy rights;
impersonate others or misrepresent your identity;
interfere with the services, bypass security, probe systems without authorization, or reverse engineer non-public components;
upload malware or attempt unauthorized access;
use the services for high-risk, regulated, or safety-critical decisions without appropriate human review and legal safeguards.
9. Fees, Taxes, and Payment
Some services may require paid plans, setup fees, usage fees, channel charges, payment gateway fees, WhatsApp conversation charges, third-party integration fees, or taxes. You are responsible for all applicable fees and taxes unless an order form states otherwise.
Paid fees are non-refundable except where required by law or expressly stated in writing.
10. Service Availability and Changes
We work to keep the services reliable, but we do not guarantee uninterrupted or error-free operation. We may update, modify, suspend, or discontinue features as products evolve, as third-party platforms change, or as required for security, compliance, or operational reasons.
Beta, preview, or experimental features are provided as-is and may change or stop without notice.
11. Intellectual Property
VectorScale Labs and its licensors own the services, software, interfaces, design, documentation, trademarks, and related intellectual property. These Terms do not grant you any ownership rights in our intellectual property.
You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from the services except as permitted by law or expressly authorized by us.
12. Confidentiality
Each party may receive confidential information from the other. The receiving party must use confidential information only for the purpose of performing under these Terms and must protect it using reasonable safeguards.
13. Suspension and Termination
You may stop using the services at any time. We may suspend or terminate access if you breach these Terms, fail to pay required fees, violate platform policies, create security or legal risk, or if continued access would harm the services, users, partners, or third-party platforms.
After termination, your right to use the services ends. Data deletion and retention are handled under our Privacy Policy and Data Deletion Policy.
14. Disclaimers
The services are provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not guarantee sales, revenue, customer response rates, message delivery, ranking, advertising performance, platform approval, or any specific business outcome.
15. Limitation of Liability
To the maximum extent permitted by law, VectorScale Labs will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, loss of profits, loss of revenue, loss of goodwill, loss of data, or business interruption.
Our aggregate liability for claims relating to the services will not exceed the amount paid by you to us for the applicable service in the three months before the event giving rise to the claim, or INR 50,000, whichever is lower.
16. Indemnity
You will defend, indemnify, and hold harmless VectorScale Labs, its directors, employees, contractors, and affiliates from claims, losses, damages, liabilities, costs, and expenses arising from your Customer Content, your use of the services, your breach of these Terms, your violation of law or platform policies, or your infringement of third-party rights.
17. Governing Law and Disputes
These Terms are governed by the laws of India. The courts at Ernakulam, Kerala, India will have exclusive jurisdiction, unless applicable law requires otherwise.
18. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted on this page or communicated through reasonable channels. Continued use of the services after the effective date means you accept the updated Terms.
